「myRTモバイル」は「2.サービスおよび対価」に記載してあるとおり、無料サービスとなります
「1.定義」に記載の従量課金に関する文は、「アカウント」の定義文となり、本サービス利用者においては、「2.サービス及び対価」において無料でサービス利用いただけます。

The following are the terms and conditions for use of the MyRT Mobile service described herein (the "Service") between AuriQ Systems Inc. and you (either an individual or a legal entity that you represent as an authorized employee or agent) ("You"). Please read them carefully. BY CLICKING THE "I ACCEPT" BUTTON, COMPLETING THE REGISTRATION PROCESS AND/OR USING THE SERVICE, YOU ARE STATING THAT YOU ARE ELIGIBLE FOR AN ACCOUNT AND THAT YOU AGREE TO BE BOUND BY ALL OF THESE TERMS AND CONDITIONS OF THE SERVICE ("AGREEMENT"). The Service is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein.

この規約は、MyRT Mobileサービスに関してAuriQ Systems, Inc. (以下「AuriQ Systems」といいます）と当該サービスを利用する利用者（個人であるか法人格を代表する社員または代理人であるかを問わず、以下「利用者」といいます）に対し適用される条件を定めるものです。利用者は本規約に記載された条件を精読してください。"I　ACCEPT"（同意する）のボタンをクリックした場合には、利用者登録が完了し当該サービスの利用が可能になるとともに、アカウントが発行され当該サービスに関して本書に記載する全ての条件（以下「本規約」といいます）に合意したものとみなします。当該サービスは、利用者が本規約に記載された約定、条件、ならびに通知に何ら変更を加えることなく同意することを条件として、利用者に提供されます。

1. DEFINITIONS

"Account" refers to the billing account for the Service. All Groups linked to a single Site will have their Page Views aggregated prior to determining the charge for the Service for that Site.

"Customer Data" means the data concerning the characteristics and activities of visitors to your website that is collected through use of the MMT and then forwarded to the Servers and analyzed by the Processing Software.

"Documentation" means any accompanying proprietary documentation made available to You by AuriQ Systems for use with the Processing Software, including any documentation available online or otherwise.

"Page View" is the unit of measurement for usage of the Service. A Page View is used when the tracking code is executed on a web page accessed by a visitor, and processed as part of a Group. A Page View will be incurred for each instance of the MMT on the web page, and for each Group receiving information from the tracking code for such web page.

"Processing Software" means the proprietary AuriQ Systems Software and any all upgrades to such, which analyzes the Customer Data and generates the Reports.

"Group" means the collection of settings that together determine the information to be included in, or excluded from, a particular Report. For example, a Group could be established to view a small portion of a web site as a unique Report. There can be multiple Groups established under a single Site.

"Report" means the resulting analysis shown at myrt.auriq.com/mobile (or such other URL AuriQ Systems may provide from time to time) for an individual Group. The number of charts, graphs, and statistics contained in a Report varies with the edition of the Service.

"MMT" means the proprietary MyRT Mobile Tracking Code, which is installed on a web page for the purpose of collecting Customer Data, together with any fixes, updates and upgrades provided to you (collectively, the "MMT").

"Servers" means the servers controlled by AuriQ Systems (or its wholly owned subsidiaries) upon which the Processing Software and Customer Data are stored.

"Site" means a group of web pages that are linked to an Account and use the same MMT. Each Site consists of a default Group that measures all pages within the Site. Additional Groups can be established under a Site to evaluate subsections of a Site in greater detail.

"Software" means the MMT and the Processing Software.

1.定義

「アカウント」とは、本サービスの課金対象となるアカウントを意味します。単一の「サイト」にリンク付されたすべての「グループ」は、「ページビュー」の累計に応じて当該「サイト」に適用される「本サービス」利用の対価が従量課金により請求されます。

「顧客データ」とは、「MMT」の使用を通じて収集された利用者のwebサイトに来訪した来訪者の特徴や行動に関するデータを意味し、本サービスに取り込まれた後、「処理ソフトウェア」により解析されます。

「ドキュメンテーション」とは、「処理ソフトウェア」とともに利用にあたり、AuriQ　Systemsが利用者に対して、オンラインその他の方法により提供する、財産的価値を有するあらゆるドキュメンテーションを意味します。

「ページビュー」とは、本サービス利用の計測単位を意味し、来訪者がwebページにアクセスしてトラッキング・コードが処理されると「グループ」の一部として処理されます。1つの「ページビュー」はwebページ上の「MMT」発生毎、ならびに当該webページのトラッキング・コードから個々の「グループ」が情報を受け取る毎に認識されます。

「処理ソフトウェア」とは、財産的価値を有するAuriQ　Systemsのソフトウェアで、それらアップグレードをすべて含み、「顧客データ」を解析し、「レポート」を生成します。

「グループ」とは、ある特定の「レポート」に含まれるべき情報と除外すべき情報の組み合わせを定めた設定情報の集合体を意味します。例えば、あるwebサイトのとても小さい部分を見るためにある固有の「レポート」として「グループ」を設定することができます。同一サイト上で複数の「グループ」を設定することができます。

「レポート」とは、個々のグループに対し、auriq.com/mobile (または、その他AuriQ Systemsが適宜提供するURL) 上で、解析した結果の表示を意味します。「レポート」に含まれるチャート、グラフ、および統計の数量は「本サービス」の版によって異なります。

「MMT」とは、「顧客データ」を収集するために、webページ上にインストールされる、財産的価値を有するMyRT Mobileトラッキング・コードを意味します。これには、利用者に提供されるフィックス版、アップデート版およびアップグレード版も含まれ、あわせて「MMT」といいます。

「サーバ」とは、「処理ソフトウェア」および「顧客データ」が格納され、AuriQ Sytems（またはその完全子会社）が管理するサーバを意味します。

「サイト」とは、「アカウント」に紐付けられた同一の「MMT」を使用するwebページのグループを意味します。個々の「サイト」は、「サイト」内にあるすべてのページを測定するデフォルトのグループを構成します。より詳細に「サイト」のサブセクションを評価するため「サイト」において追加の「グループ」を設定することができます。

「ソフトウェア」とは、「MMT」および「処理ソフトウェア」を意味します。

2. FEES AND SERVICES

Subject to Section 15 herein, the Service is provided without charge to You.

AuriQ Systems may change its fees and payment policies for the Service from time to time including but not limited to the addition of costs for geographic data, the importing of cost data from search engines, or other fees charged to AuriQ Systems or its wholly-owned subsidiaries by 3rd party vendors for the inclusion of data in the Service reports. The changes to the fees or payment policies are effective upon Your acceptance of such changes which will be posted at myrt.auriq.com/mobile (or such other URL AuriQ Systems may provide from time to time). Unless otherwise stated, all fees are quoted in U.S. Dollars. Any outstanding balance becomes immediately due and payable upon termination of this Agreement for any reason and any collection expenses (including attorneys' fees) incurred by AuriQ Systems will be included in the amount owed, and may be charged to the credit card or other billing mechanism associated with your account.

2.サービスおよび対価

本規約第15条に定める条件に従い、「本サービス」は「利用者」に対し無償で提供されます。

AuriQ Systemsは、AuriQ Systemsまたはその完全子会社に対し第三者ベンダーから「本サービス」のレポート上に含まれるデータの対価として課せられる、地勢データ、サーチエンジンからのコストデータのインポートその他の費用を含み、これらに限らず、「本サービス」の対価および支払条件を適宜変更することができるものとします。当該対価および支払条件に関する変更は、myrt.auriq.com/mobile (または、その他AuriQ Systemsが適宜提供するURL) 上で公開され、利用者が当該変更に承諾した時点で有効となります。別途定める場合を除き、すべての対価は米国ドル建となります。事由の如何を問わず、本規約が終了した場合、利用者はAuriQ Systemsに支払うべき残債務（これには、弁護士報酬をはじめ回収のために発生したあらゆる費用を含む）を即時履行するものとします。当該決済は、利用者のアカウントに関連するクレジットカードその他の請求の仕組みによるものとします。

3. MEMBER ACCOUNT, PASSWORD, AND SECURITY

To register for the Service, You must complete the registration process by providing AuriQ Systems with current, complete and accurate information as prompted by the registration form, including Your e-mail address (username) and password. You shall protect your passwords and take full responsibility for Your own, and third party, use of Your accounts. You are solely responsible for any and all activities that occur under Your Account. You agree to notify AuriQ Systems immediately upon learning of any unauthorized use of Your Account or any other breach of security. From time to time, AuriQ Systems' (or its wholly-owned subsidiaries') support staff may log in to the Service under Your customer password in order to maintain or improve service, including to provide You assistance with technical or billing issues. You hereby acknowledge and consent to such access.

3.メンバーアカウント、パスワードおよびセキュリティ

本サービスの利用にあたっては、利用者の電子メールアドレス（ユーザ名）およびパスワードを含む、現行の完全で正確な情報をコンピュータ上の登録様式に従い入力し、必要な登録手続を完了しなければなりません。利用者は、利用者の「アカウント」から発生するあらゆるすべての活動に対し責任を負うものとします。利用者は、利用者の「アカウント」の不正使用またはいかなるセキュリティ違反についても、これを直ぐにAuriQ Systemsに通知するものとします。AuriＱ Sytems（またはその完全子会社）のサポート要員は、技術上および請求関連の問題について支援することを含め、サービスの維持向上のため利用者のカスタマパスワードに応じて提供される本サービスにログインすることがあります。利用者は本規約に基づき当該アクセスを了解しこれに同意するものとします。

4. NONEXCLUSIVE LICENSE

AuriQ Systems hereby grants You a limited, revocable, non-exclusive, non-sublicensable license to install, copy and use the MMT solely as necessary to use the Service for one or more web pages that You own and control (collectively, the "Website"). Subject to the terms and conditions of this Agreement, You may remotely access, view and download Your Reports stored at myrt.auriq.com/mobile (or such other URL AuriQ Systems may provide from time to time). Your license of, use of and access to the Software and the Service (which may include, without limitation, the Software, Documentation and the Reports) is conditioned upon Your compliance with the terms and conditions of the Agreement, including the following:

You will not nor will You allow any third party to

  • (i) copy, modify, adapt, translate or otherwise create derivative works of the Software or the Documentation;
  • (ii) reverse engineer, de-compile, disassemble or otherwise attempt to discover the source code of the Software, except as expressly permitted by the law in effect in the jurisdiction in which You are located;
  • (iii) rent, lease, sell, assign or otherwise transfer rights in or to the MMT, the Processing Software, the Documentation or the Service;
  • (iv) remove any proprietary notices or labels on the Software or placed by the Service; or
  • (v) use, post, transmit or introduce any device, software or routine which interferes or attempts to interfere with the operation of the Service or the Software. You will use the Software, Service and Reports solely for Your own internal use, and will not make the Software or Service available for timesharing, application service provider or service bureau use. You will comply with all applicable laws and regulations in Your use of and access to the Documentation, Software, Service and Reports.

This license will terminate immediately if You fail to comply with the terms of this Agreement.

4.非独占的ライセンス

AuriQ Systemsは、利用者が自身で保有し管理する1つまたは複数のwebページ（以下、あわせて「ウェブサイト」といいます）において本サービスを使用するために必要な範囲に限定して、「MMT」をインストールし、複製しかつ使用することのできる、制限的、取消可能な、非独占的かつ再使用許諾不能の権利を本規約に基づき利用者に許諾します。本規約に定める条項に従い、利用者はmyrt.auriq.com/mobile (または、その他AuriQ Systemsが適宜提供するURL) 上に格納されている利用者の「レポート」を遠隔的にアクセスし、レビューし、ダウンロードすることができます。「ソフトウェア」および「本サービス」（「ソフトウェア」、「ドキュメンテーション」、および「レポート」を含み、これらに限定されるものではありません）のライセンス、使用およびアクセスは、以下を含み、利用者が本規約に定める条項を遵守することを条件に付与されます。

利用者は、自らまたは第三者をして、以下の行為を行ってはなりません。

  • (i) 「ソフトウェア」または「ドキュメンテーション」を複製、変更、翻案、翻訳し、あるいはそれらの派生物を作成すること、
  • (ii) 利用者の所在する裁判管轄地における有効な法律により明示的に許可されている場合を除き、「ソフトウェア」を、リバースエンジニアリングしたり、デ･コンパイルしたり、ディスアセンブルしたり、あるいはソースコードを公開すること、
  • (iii) 「MMT」、「処理ソフトウェア」、「ドキュメンテーション」または「本サービス」をレンタルしたり、リースしたり、販売したり、譲渡したり、あるいはこれらに対する（関する）権利を移転させること、
  • (iv) 「ソフトウェア」または「本サービス」において記載されている財産的価値を示す通知文やラベルを取り外すこと、または
  • (v) 「本サービス」または「ソフトウェア」の使用に悪影響を与える、またはその恐れのあるいかなるデバイス、ソフトウェアまたはルーチンも使用せず、公表せず、知らしめず、あるいは導入しないこと。 利用者は、「ソフトウェア」、「本サービス」、および「レポート」を自身で使用する目的に限定して使用するものとし、かつ、「ソフトウェア」および「本サービス」をタイムシェアリングで提供したり、アプリケーションサービスプロバイダーに提供したり、第三者向サービス提供のために使用してはなりません。利用者は、利用者が「ドキュメンテーション」、「ソフトウェア」、「本サービス」および「レポート」を使用し、アクセスするために必要とされるすべての適用される法律および規則を遵守するものとします。

利用者が本規約に違背した場合、本規約に基づき付与された権利は即時失効するものとします。

5. CONFIDENTIALITY

"Confidential Information" includes any proprietary data and any other information disclosed by one party to the other in writing and marked "confidential" or disclosed orally and, within five business days, reduced to writing and marked "confidential". Notwithstanding the foregoing, Confidential Information will not include any information that is or becomes known to the general public, which is already in the receiving party's possession prior to disclosure by a party or which is independently developed by the receiving party without the use of Confidential Information. Neither party will use or disclose the other party's Confidential Information without the other's prior written consent except for the purpose of performing its obligations under this Agreement or if required by law, regulation or court order. In which case, the party being compelled to disclose Confidential Information will give the other party as much notice as is reasonably practicable prior to disclosing such information. Upon termination of this Agreement, the parties will promptly either return or destroy all Confidential Information and, upon request, provide written certification of such. You are responsible for safeguarding the confidentiality of Your password(s) and user name(s) issued to You by AuriQ Systems, and for any use or misuse of Your account resulting from any third party using a password or user name issued to You. You agree to immediately notify AuriQ Systems of any unauthorized use of Your account or any other breach of security known to You.

5.機密保持

「機密情報」には、「機密（confidential）」と書面化または表記され、あるいは口頭での開示後5営業日以内に「機密」と書面化または表記され、一方当事者から他方当事者に開示された財産的価値を有するデータその他の情報が含まれます。上記にかかわらず、「機密情報」には以下は含まれないものとします。

  • (i) 公知の情報または開示を受けた当事者（以下「被開示者」といいます）の責に帰すべき事由によることなく公知となった情報
  • (ii) 開示を行った当事者（以下「開示者」といいます）から開示を受けるより以前に、被開示者がすでに自身が保有していた情報
  • (iii) 開示者の機密情報によることなく被開示者が独自に開発した情報
いずれの当事者も、本規約に基づく義務を履行する目的による場合、あるいは法律、規則または裁判所による命令により要請された場合を除き、相手方当事者の「機密情報」を相手方当事者の許諾なく開示してはならないものとします。当該要請があった場合、「機密情報」の開示を要請された当事者は、実務的に合理的な範囲で当該情報を開示する前に相手方当事者に事前にその旨通知するものとします。本規約に基づく契約が終了した場合、両当事者は速やかに相手方当事者にすべての「機密情報」を返却または廃棄し、相手方当事者から要請があった場合は 当該証明書を相手方に交付するものとします。利用者は、AuriQ Systemsが交付した利用者のパスワードおよびユーザ名を自身で機密に保持するとともに、第三者が利用者のパスワードおよびユーザ名を使用したことにより発生した利用者アカウントのあらゆる使用または誤使用に対して、責任を負うものとします。利用者は、利用者アカウントの不正使用あるいはセキュリティ違反を知ったときは即時AuriQ Systemsにその旨通知することに同意するものとします。

6. INFORMATION RIGHTS AND PUBLICITY

AuriQ Systems and its wholly owned subsidiaries may retain and use, subject to the terms of its Privacy Policy (located at http://myrt.auriq.com/mobile/privacy.php , or such other URL as AuriQ Systems may provide from time to time), information collected in Your use of the Service. AuriQ Systems will not share information associated with You or your Site with any third parties unless AuriQ Systems

  • (i) has Your consent;
  • (ii) concludes that it is required by law or has a good faith belief that access, preservation or disclosure of such information is reasonably necessary to protect the rights, property or safety of AuriQ Systems, its users or the public; or
  • (iii) provides such information in certain limited circumstances to third parties to carry out tasks on AuriQ Systems' behalf (e.g., billing or data storage) with strict restrictions that prevent the data from being used or shared except as directed by AuriQ Systems. When this is done, it is subject to agreements that oblige those parties to process such information only on AuriQ Systems' instructions and in compliance with this Agreement and appropriate confidentiality and security measures.

6.情報に関する権利およびパブリシティ

AuriQ Systemsおよびその完全子会社は、そのプライバシーポリシー（http://myrt.auriq.com/mobile/privacy.php その他AuriQ　Systemsが適宜提供するURL上で告知）に従い利用者による本サービスを通じて収集された情報を保有し、使用することができるものとします。AuriQ Systemsは以下の場合を除き、利用者または利用者のサイトに付帯する情報を第三者と共有しません。

  • (i) 利用者の合意を得ている場合
  • (ii) AuriQ Systems, その顧客または公共の権利、財産または安全を防御するために当該情報にのアクセス、保持または開示が法律または信義に従い必要と判断した場合、または
  • (iii) AuriQ Systemsが指示した方法以外ではデータが使用または共有できない制限を加えた上で、AuriQ　Systemsの代行（例えば請求やデータストレージ）として業務を実施する第三者に対しある限定した環境で当該情報を提供すること。この場合、AuriQ Systemsの指示従って当該情報を処理するとともに、本規約を遵守し、機密およびセキュリティのために必要とされる適切な措置を講ずることを、契約により義務付けるものとします。

7. PRIVACY

You will not (and will not allow any third party to) use the Service to track or collect personally identifiable information of Internet users, nor will You (or will You allow any third party to) associate any data gathered from Your website(s) (or such third parties' website(s)) with any personally identifying information from any source as part of Your use (or such third parties' use) of the Service. You will have and abide by an appropriate privacy policy and will comply with all applicable laws relating to the collection of information from visitors to Your websites. You must post a privacy policy and that policy must provide notice of your use of a cookie that collects anonymous traffic data.

7.プライバシー

利用者は、「本サービス」を、インターネットユーザの個人特定情報の追跡や収集の目的で使用（あるいは第三者に対し当該使用を許諾）してはなりません。利用者は、本サービスの利用者（または第三者）による使用方法の一形態として、利用者のウェブサイト（または第三者のウェブサイト）から収集したいかなるデータも他のソースから収集した個人特定情報と組み合わせて使用してはなりません。利用者は、適切なプライバシーポリシーを定めこれに従わなければなりません。利用者は、利用者のwebサイトの訪問者からの情報収集に関連して適用されるすべての法律を遵守するものとします。利用者は、プライバシーポリシーを告知し、匿名のトラフィックデータの収集にクッキーを使用している旨当該ポリシー上に明記しなければなりません。

8. INDEMNIFICATION

You agree to indemnify, hold harmless and defend AuriQ Systems and its wholly owned subsidiaries, at Your expense, any and all third-party claims, actions, proceedings, and suits brought against AuriQ Systems or any of its officers, directors, employees, agents or affiliates, and all related liabilities, damages, settlements, penalties, fines, costs or expenses (including, without limitation, reasonable attorneys' fees and other litigation expenses) incurred by AuriQ Systems or any of its officers, directors, employees, agents or affiliates, arising out of or relating to

  • (i) Your breach of any term or condition of this Agreement,
  • (ii) Your use of the Service,
  • (iii) Your violations of applicable laws, rules or regulations in connection with the Service, or
  • (iv) Your Brand Features.
In such a case, AuriQ Systems will provide You with written notice of such claim, suit or action. You shall cooperate as fully as reasonably required in the defense of any claim. AuriQ Systems reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by You.

8.補償

利用者は、以下の事由により、あるいは関連して、AuriQ Systems、その役員、従業員、代理人または関連会社（子会社を含む）に対して請求されたあらゆるすべての請求、訴訟、行政手続、ならびに裁判、あるいはAuriQ Systems、その役員、従業員、代理人または関連会社（子会社を含む）に発生したすべての関連する損害賠償責任、損失、和解、罰金、過料、費用または経費（合理的な弁護士費用およびその他の訴訟費用を含みますがこれらに限定されるものではありません）について、利用者の費用においてAuriQ Systemsおよびその完全子会社を免責し、補償し、かつ防御するものとします。

  • (i) 利用者による本規約違反、
  • (ii) 利用者による本サービスの使用、
  • (iii) 利用者による本サービスに関連して適用される法律、規則または規定の違反、または
  • (iv) 利用者の ブランド特性（ Brand Features）。
上記の場合、AuriQ Systemsは当該請求、裁判または訴訟について書面で利用者に通知するものとします。利用者は、当該請求から防御するために合理的に必要とされる協力を十分に提供するものとします。AuriQ Systemsは、自己の費用負担により、事案の防御およ管理を引き受け、利用者に補償を求めることができる権利を留保するものとします。

9. THIRD PARTIES

If You provide access to Your Account or any portion thereof to any third party or use the Service to collect information on behalf of any third party ("Third Party"), whether or not You are authorized to do so by AuriQ Systems or its wholly owned subsidiaries, the terms of this Section 9 shall apply to You.

If You use the Service on behalf of any Third Party, You represent and warrant that

  • (a) You are authorized to act on behalf of, and bind to this Agreement, that Third Party,
  • (b) as between the Third Party and You, the Third Party owns any rights to Customer Data in the applicable account, and
  • (c) You shall not disclose Third Party's Customer Data to any other party without the Third Party's consent.

You shall ensure that each Third Party is bound by and abides by the terms of this Agreement. AuriQ Systems and its wholly owned subsidiaries make no representations or warranties for the direct or indirect benefit of any Third Party. With respect to Third Parties, You shall take all measures necessary to disclaim any and all representations or warranties that may pertain to AuriQ Systems and its wholly owned subsidiaries, the Service, the Software or the Reports, or use thereof. You agree to indemnify, hold harmless and defend AuriQ Systems and its wholly owned subsidiaries, at Your expense, against any and all third-party claims, actions, proceedings, and suits brought against AuriQ Systems or any of its officers, directors, employees, agents or affiliates, and all related liabilities, damages, settlements, penalties, fines, costs or expenses (including, without limitation, reasonable attorneys' fees and other litigation expenses) incurred by AuriQ Systems, or any of its officers, directors, employees, agents or affiliates, arising out of or relating to

  • (a) any representations and warranties made by You concerning any aspect of the Service, the Software or Reports to Third Parties;
  • (b) any claims made by or on behalf of any Third Party pertaining directly or indirectly to Your use of the Service, the Software or Reports;
  • (c) violations of Your obligations of privacy to any Third Party; and
  • (d) any claims with respect to acts or omissions of Third Parties in connection with the Services, the Software or Reports.

9.サードパーティ

利用者が、利用者の「アカウント」またはその一部に対するアクセスを第三者に許諾し、あるいは、第三者（以下「第三者」といいます）に代わって情報収集のために「本サービス」を使用する場合、AuriQ Systemsまたはその完全子会社によりその承諾がなされていたか否かにかかわらず、本規約第9条の規定が利用者に対して適用されるものとします。
利用者が、「第三者」に代わって「本サービス」を提供する場合、利用者は以下を表見し保証するものとします。

  • (i) 利用者が、当該「第三者」に代行することについて承諾を得るとともに、本規約を遵守せしめること、
  • (ii) 当該「第三者」と利用者間で、当該「第三者」が適用されるアカウントに関する「顧客データ」に関する権利は当該「第三者」が保有すること、ならびに
  • (iii) 利用者は、当該「第三者」の同意を得ることなく他者に当該「第三者」の「顧客データ」を開示しないこと。

利用者は、「第三者」は各々、本規約に定める条件に拘束されこれに従うことを保証するものとします。AuriQ Systemsおよびその完全子会社は、「第三者」のあらゆる直接的および間接的利益に対して、何らの表明も保証も行わないものとします。利用者は、「第三者」に関して、AuriQ Systemsまたはその完全子会社、「本サービス」、「ソフトウェア」、または「レポート」 あるいはそれらの使用に関連するすべての表明および保証を否認するために、あらゆるすべての必要な手段を講ずるものとします。 利用者は、以下の事由により、あるいは関連して、AuriQ Systems、その役員、従業員、代理人または関連会社（子会社を含む）に対して請求されたあらゆるすべての請求、訴訟、行政手続、ならびに裁判、あるいはAuriQ Systems、その役員、従業員、代理人または関連会社（子会社を含む）に発生したすべての関連する損害賠償責任、損失、和解、罰金、過料、費用または経費（合理的な弁護士費用およびその他の訴訟費用を含みますがこれらに限定されるものではありません）について、利用者の費用においてAuriQ Systemsおよびその完全子会社を免責し、補償し、かつ防御するものとします。

  • (i) 「第三者」に対する、利用者によってなされた「本サービス」、「ソフトウェア」、または「レポート」に関するあらゆる表明および保証、
  • (ii) 直接的または間接的に、利用者による「本サービス」、「ソフトウェア」または「レポート」に関連して「第三者」により、または「第三者」のためになされたあらゆる請求、

  • (iv) 「本サービス」、「ソフトウェア」または「レポート」に関連した「第三者」の作為または不作為に関連した請求。

10. DISCLAIMER OF WARRANTIES

The information and services included in or available through the Service, including the Reports, may include inaccuracies or typographical errors. Changes are periodically added to the information herein. AuriQ Systems and/or its respective suppliers may make improvements and/or changes in the Service or Software at any time, with or without notice. AuriQ Systems does not represent or warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service, the Software or any other software on the Server are free of viruses or other harmful components. AuriQ Systems does not warrant or represent that the use of the Service or the Reports will be correct, accurate, timely or otherwise reliable. You specifically agree that AuriQ Systems and its wholly owned subsidiaries shall not be responsible for unauthorized access to or alteration of the Customer Data or data from Your Website.

THE SERVICE, THE SOFTWARE AND REPORTS ARE PROVIDED "AS IS" AND THERE ARE NO WARRANTIES, CLAIMS OR REPRESENTATIONS MADE BY AURIQ SYSTEMS AND/OR ITS SUBSIDIARIES AND AFFILIATES, EITHER EXPRESS, IMPLIED, OR STATUTORY, WITH RESPECT TO THE SERVICE, THE SOFTWARE, THE DOCUMENTATION AND REPORTS, INCLUDING WARRANTIES OF QUALITY, PERFORMANCE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE, NOR ARE THERE ANY WARRANTIES CREATED BY COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE. AURIQ SYSTEMS DOES NOT WARRANT THAT THE SERVICE, THE SOFTWARE OR REPORTS WILL MEET YOUR NEEDS OR BE FREE FROM ERRORS, OR THAT THE OPERATION OF THE SERVICE WILL BE UNINTERRUPTED. THE FOREGOING EXCLUSIONS AND DISCLAIMERS ARE AN ESSENTIAL PART OF THIS AGREEMENT AND FORMED THE BASIS FOR DETERMINING THE PRICE CHARGED FOR THE SERVICE. SOME STATES DO NOT ALLOW EXCLUSION OF AN IMPLIED WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.

11. LIMITATION OF LIABILITY

AURIQ SYSTEMS AND ITS WHOLLY OWNED SUBSIDIARIES WILL NOT BE LIABLE TO USER OR ANY THIRD-PARTY CLAIMANT FOR ANY INDIRECT, SPECIAL, PUNITIVE, CONSEQUENTIAL (INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR LOST DATA COLLECTED THROUGH THE SERVICE), OR INCIDENTAL DAMAGES, WHETHER BASED ON A CLAIM OR ACTION OF CONTRACT, WARRANTY, NEGLIGENCE, STRICT LIABILITY, OR OTHER TORT, BREACH OF ANY STATUTORY DUTY, INDEMNITY OR CONTRIBUTION, OR OTHERWISE, EVEN IF AURIQ SYSTEMS AND/OR ITS SUBSIDIARIES AND AFFILIATES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE EXCLUSION CONTAINED IN THIS PARAGRAPH SHALL APPLY REGARDLESS OF THE FAILURE OF THE EXCLUSIVE REMEDY PROVIDED IN THE FOLLOWING PARAGRAPH. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE LIMITATIONS OR EXCLUSIONS IN THIS AND THE FOREGOING PARAGRAPH MAY NOT APPLY TO YOU.

AuriQ Systems' (and its wholly owned subsidiaries') total cumulative liability to You or any other party for any loss or damages resulting from any claims, demands, or actions arising out of or relating to this Agreement shall not exceed U.S. $500.

11. 責任の制限

AuriQ Systems（完全子会社を含む）が利用者その他第三者に対し負う本規約に起因または関連する一切の請求、要求、または訴訟から発生した損害賠償責任は、総額において５００米ドルを超えないものとします。

12. SERVICE LEVELS

AuriQ Systems does not guarantee the Service will be operable at all times or during any down time

  • (1) caused by outages to any public Internet backbones, networks or servers,
  • (2) caused by any failures of Your equipment, systems or local access services,
  • (3) for previously scheduled maintenance or
  • (4) relating to events beyond AuriQ Systems' (or its wholly owned subsidiaries') control such as strikes, riots, insurrection, fires, floods, explosions, war, governmental action, labor conditions, earthquakes, natural disasters, or interruptions in Internet services to an area where AuriQ Systems (or its wholly owned subsidiaries) or Your servers are located or co-located. Complete accuracy in all aspects of Your Statistics at all times also is not guaranteed.

12.サービスレベル

AuriQ Systemsは、以下の事由に起因する場合、「本サービス」の常時運用およびダウンタイム時の運用を保証しません。また、利用者の統計データがあらゆる面において常時正確なものであることを何ら保証しません。

  • (i) 公共的なインターネットバックボーン、ネットワークまたはサーバの機能停止による場合、
  • (ii) 利用者の装置、システムまたはローカルアクセス・サービスの不具合による場合、
  • (iii) 予め予定されていた保守のために必要とされる場合、または
  • (iv) ストライキ、暴動、反乱、火災、洪水、爆発、戦争、政府機関の戦闘、労務状況、地震、天災、あるいはAuriQ Systems（またはその完全子会社）または利用者のサーバが設置または共同設置されている地域におけるインターネットサービスの中断といったAuriQ Systems（またはその完全子会社）にとって不可抗力の事由による場合。

13. PROPRIETARY RIGHTS NOTICE

The Service, which includes but is not limited to the MMT and the AuriQ Systems Software and all intellectual property rights in the Service are, and shall remain, the property of AuriQ Systems (and its wholly owned subsidiaries). All rights in and to the Processing Software not expressly granted to You in this Agreement are hereby expressly reserved and retained by AuriQ Systems and its licensors without restriction, including, without limitation, AuriQ Systems' (and its wholly owned subsidiaries') right to sole ownership of the AuriQ Systems Logos, Trademarks, Software, Documentation, Databases, Reports and Websites. Without limiting the generality of the foregoing, You agree not to (and to not allow any third party to):

  • (a) sublicense, distribute, or use the Service outside of the scope of the License granted herein;
  • (b) copy, modify, adapt, translate, prepare derivative works from, reverse engineer, disassemble, or decompile the Processing Software or otherwise attempt to discover any source code or trade secrets related to the Service;
  • (c) use the trademarks, trade names, service marks, logos, domain names and other distinctive brand features or any copyright or other proprietary rights associated with the Service for any purpose without the express written consent of AuriQ Systems;
  • (d) register, attempt to register, or assist anyone else to register any trademark, trade name, serve marks, logos, domain names and other distinctive brand features, copyright or other proprietary rights associated with AuriQ Systems (or its wholly owned subsidiaries) other than in the name of AuriQ Systems (or its wholly owned subsidiaries, as the case may be); or
  • (e) remove, obscure, or alter any notice of copyright, trademark, or other proprietary right appearing in or on any item included with the Service.

13. 知的財産権表記

  • (ii) 「処理ソフトウェア」を複製、変更、翻案、 翻訳、派生物作成の試み、リバースエンジニアリング、ディスアセンブルまたはデ・コンパイルすること為、あるいは「本サービス」に関するソースコードまたはトレードシークレットを公開しようとすること、
  • (iii) AuriQ Systemsの明示的な書面による承諾を得ることなく、その目的如何にかかわらず、商標、商号、サービスマーク、ロゴ、ドメイン名、他と差別化されたブランド特性（brand features）および著作権ならびに「本サービス」から付随・派生するその他の知的財産権を使用すること、
  • (iv) AuriQ Systems（事案によってはその完全子会社）の名義以外の名義で、商標、商号、サービスマーク、ロゴ、ドメイン名、他と差別化されたブランド特性（brand features）および著作権ならびに「本サービス」から付随・派生するその他の知的財産権を登録し、あるいは登録しようとすること、または
  • (v) 「本サービス」中に表記されている、または「本サービス」に含まれている内容に付記されている著作権、商標、その他財産権表記を除去したり、不明瞭にしたり、あるいは変更を加えること。

14. U.S. GOVERNMENT RIGHTS

If the use of the Service is being acquired by or on behalf of the U.S. Government or by a U.S. Government prime contractor or subcontractor (at any tier), in accordance with 48 C.F.R. 227.7202-4 (for Department of Defense (DOD) acquisitions) and 48 C.F.R. 2.101 and 12.212 (for non-DOD acquisitions), the Government's rights in the Software, including its rights to use, modify, reproduce, release, perform, display or disclose the Software or Documentation, will be subject in all respects to the commercial license rights and restrictions provided in this Agreement.

14. 米国政府の権利

15. TERM and TERMINATION

Either party to the Agreement may terminate it at any time and for any reason. Upon any termination or expiration of this Agreement, AuriQ Systems will cease providing the Service. In the event of any termination

  • (a) You will not be entitled to any refunds of any usage fees or any other fees, and
  • (b) any
    (i) outstanding balance for Service rendered through the date of termination, and
    (ii) other unpaid payment obligations during the remainder of the Initial Term will be immediately due and payable in full and
  • (c) all of Your historical report data will no longer be available to You unless a purchase or professional services agreement for the exchange and transfer of such data is entered into as a component of termination.

15. 有効期間および契約終了

本規約のいずれの当事者も、事由の如何を問わず、いつでも本規約に基づく契約を解約することができます。本規約に基づく契約が解約または終了となった場合、AuriQは「本サービス」の提供を終了します。本規約に基づく契約が終了になった場合、以下に従うものとします。

  • (i) 利用者は、使用料その他の料金の払い戻しを受けることはできません、
  • (ii) 「本サービス」終了までの期間で未収となっている「本サービス」の対価および契約期間の残余期間分についてのその他未収となっている対価についての期限の利益を失い、当該支払債務を直ちにすべて履行すること、および
  • (iii) 契約終了に伴う対応として過去のレポートデータの交換または移行に関する購入契約またはプロフェッショナルサービス契約を締結した場合を除き、利用者は利用者の過去のレポートデータを契約終了後は利用することができません。

16. MODIFICATIONS TO TERMS OF SERVICE AND OTHER POLICIES

AuriQ Systems reserves the right to change or modify any of the terms and conditions contained in this Agreement or any policy governing the Service, at any time, by posting the new agreement to the site located at myrt.auriq.com/mobile (or such other URL as AuriQ Systems may provide). You are responsible for regularly reviewing the policy. No amendment to or modification of this Agreement will be binding unless

  • (i) in writing and signed by a duly authorized representative of AuriQ Systems,
  • (ii) You accept updated terms online, or
  • (iii) You continue to use the Service after AuriQ Systems has posted updates to the Agreement or to any policy governing the Service.

16. 「本サービス」の提供条件および他のポリシー等の変更

AuriQ Systemsは、myrt.auriq.com/mobile (またはAuriQ Systemsが適宜提供するその他のURL上）のサイトにおいて新しい契約を告知することにより、本規約に定める条項その他「本件サービス」に係るポリシーの一切について、いつでも変更または修正することができる権利を保有するものとします。利用者は、定期的に当該ポリシーをレビューする責務を負うものとします。以下に該当する場合を除き、いかなる本規約の変更または修正も認められません。

  • (i) 正当なる権限を有するAuriQ Systemsの代表者による書面への署名がなされている場合、
  • (ii) 利用者がオンラインにより更新された契約条件に承諾した場合、または、
  • (iii) AuriQ Systemsが本規約または「本サービス」に係るポリシーの更新を告知した後、利用者が「本サービス」の使用を継続した場合。

17. MISCELLANEOUS; APPLICABLE LAW AND VENUE

AuriQ Systems shall be excused from performance hereunder to the extent that performance is prevented, delayed or obstructed by causes beyond its reasonable control. This Agreement (including any amendment agreed upon by the parties in writing) represents the complete agreement between us concerning its subject matter, and supersedes all prior agreements and representations between the parties. If any provision of this Agreement is held to be unenforceable for any reason, such provision shall be reformed to the extent necessary to make it enforceable to the maximum extent permissible so as to affect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect. This Agreement shall be governed by and construed under the laws of the state of California without reference to its conflict of law principles. In the event of any conflicts between foreign law, rules, and regulations, and California law, rules, and regulations, California law, rules and regulations shall prevail and govern. Each party agrees to submit to the exclusive and personal jurisdiction of the courts located in Los Angeles County, California. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act shall not apply to this Agreement. The Software is controlled by U.S. Export Regulations, and it may be not be exported to or used by embargoed countries or individuals. Any notices to AuriQ Systems must be sent to: AuriQ Systems Inc., 301 N. Lake Ave., Suite 1001, Pasadena, CA 91101, USA, with a copy to Legal Department, via first class or air mail or overnight courier, and are deemed given upon receipt. A waiver of any default is not a waiver of any subsequent default. You may not assign or otherwise transfer any of Your rights hereunder without AuriQ Systems' prior written consent, and any such attempt is void. The relationship between AuriQ Systems and You is not one of a legal partnership relationship, but is one of independent contractors. This Agreement shall be binding upon and inure to the benefit of the respective successors and assigns of the parties hereto. The following sections of this Agreement will survive any termination thereof: 1, 4, 5, 6 (except the last two sentences), 7, 8, 9, 10, 11, 13, 15, and 17.

17.一般条項、準拠法および裁判管轄地

AuriQ Systemsは、その合理的制御の範囲を超えた原因によりパフォーマンスが制限され、遅滞し、または妨害される限りにおいて、本規約に基づくパフォーマンスについて免責されるものとします。本規約（書面により両当事者が合意した変更を含む）は、標題の件に関する両当事者の完全合意を表明するものであり、それ以前の両当事者のすべての合意および表明に代わるものです。事由の如何を問わず、本規約の一部が無効となった場合、当該条項は両当事者の意図に従った範囲で最大限有効となるよう、変更を加えるものとし、無効となっていない条項はすべて有効に存続するものとします。本規約は、国際私法の原則を排除し、カリフォルニア州法に準拠するものとします。アメリカ合衆国以外の法律、規則および規定とカリフォルニア州の法律、規則および規定とが抵触した場合、カリフォルニア州の法律、規則および規定が優先され準拠となります。いずれの当事者も、カリフォルニア州ロス・アンジェルス郡に所在する裁判所を専属管轄裁判所とすることに同意するものとします。
国際物品売買契約に関する国際連合条約および統一コンピュータ情報取扱法は本規約に適用されません。「本ソフトウェア」は、米国輸出規則の対象であり、輸出を禁止されている国または個人に対し米国外に輸出し、あるいはこれらの国または個人に使用させてはなりません。
AuriQ Systemsに対するあらゆる通知は、米国1st class mailまたは航空便または深夜宅配便により、AuriQのLegal Departmentに対する写とともに以下の住所宛に送付されなければなりません。当該通知は受領をもって通知がなされたものとみなします。

ある不履行に関する権利放棄はそれ以降に続く他の不履行について権利放棄したものとみなされてはなりません。
利用者はAuriQ Systemsの書面による事前の承諾を得ることなく、本規約に基づく利用者の権利を譲渡あるいは移譲してはならないものとし、そのような試みはすべて無効とします。
AuriQ Systemsと利用者の関係は1つの法的なパートナーシップ関係を形成するものではなく、それぞれ個々の独立した事業者としての関係です。
本規約は、本規約の当事者の承継者および被譲渡人に対しても条項が適用され効力を及ぼすものとします。
本規約第1条、第4条、第5条、第6条（最後の2つの文を除く）、第7条、第8条、第9条、第10条、第11条、第13条、第15条ならびに第17条の規定は本規約に基づく契約終了後も有効に存続するものとします。
